'Firing and Hiring a CEO'


It is often said the most important job of any board is to hire and fire the CEO, yet many board members faced with this task have not experienced this process.

On November 2, 2017, The Resolution is presenting a powerful hypothetical where three of Australia’s more experienced and admired board members will meet to finalise the termination of their CEO and then in a second board meeting we will see how they proceed in appointing the replacement.  

Attendees will receive the board papers prior to the event and be encouraged to submit their questions as members of the Nominations and Remunerations Committee so that they can be considered by the board.

This unique event will feature ‘The Resolution Board of Directors’ Jane Hemstritch, Michael Ullmer and Peter Hay:

  • Jane Hemstritch - BSc (Hons) London University FICAEW FCAANZ FAICD was managing director Asia Pacific for Accenture Limited from 2004 until her retirement in February 2007.

    Mrs Hemstritch is an independent non-executive director of Telstra Corporation Ltd, Lendlease Corporation Limited, The Walter and Eliza Hall Institute of Medical Research and Victorian Opera Company Ltd (Chairman from February 2013).

    She is the Deputy Chair of the Council of The National Library of Australia, and a member of the Global Council of Herbert Smith Freehills, the Council of Governing Members of The Smith Family and Chief Executive Women.

    Past roles include independent non-executive director of The Commonwealth Bank of Australia Ltd (2006-2016), Santos Ltd (2010 – 2016) and Tabcorp Holdings.
  • Michael Ullmer FAICD - was the National Australia Bank Deputy Group Chief Executive Officer from October 2007 until he stepped down from the Bank in August 2011.

    Mr Ullmer is a director of Woolworths Limited and Lendlease Corporation and is Chairman of the Melbourne Symphony Orchestra and is a Trustee of the National Gallery of Victoria. He is a member of the European Australian Business Council.

    He was a director of Commonwealth Bank of Australia, National Australia Bank, Bank of New Zealand, Chairman of the Group’s US subsidiary Great Western Bank, and Chairman of JBWere. He was also a director of Fosters Limited until the acquisition by SAB Miller.

    Michael has a degree in Mathematics, is a Fellow of the Institute of Chartered Accountants, a Senior Fellow of the Financial Services Institute of Australia, and a Fellow of the Australian Institute of Company Directors.
  • Peter Hay LLB FAICD - is the Chairman of Newcrest Mining Ltd and Vicinity Centres, and a part time Member of the Australian Government Takeovers Panel.

    Peter has a background in M&A legal practice, investment banking advisory work and as a non-executive director. He was Chief Executive Officer of Freehills from 2000 to 2005.


Your learning experience begins when you register. You will be invited to join the board Nominations and Remuneration subcommittee and you will be able to read the board papers and submit questions that you believe the Board should address and contribute as a valuable member of the decision-making process.

Following this event, you will have access to the many digital artefacts created by the process to improve how you operate in your own organisation.

  • What are the legal constraints that must be understood?
  • How and when does the recruitment process begin?
  • Should an acting CEO be appointed?
  • What are the issues in considering an internal and external candidates?
