Course overview:
Starting a business is hard. Small mistakes early on can have huge consequences in the future. This workshop is an opportunity to learn the key legal steps to establish a business, protect your IP and ensure you’re ready and able to raise capital, grow and achieve your startup ambitions. You could spend thousands trying to figure this stuff out with your own lawyers or spend a day with a Co-Founder of LegalVision, Australia’s award-winning tech-driven law firm who assist thousands of startups and SMEs, and get your questions answered.

You will develop:

  • Business and personal structuring knowledge, including alternatives structures for your business, how to issue shares, and alternative structures for owning your shares.
  • Online contract and intellectual property knowledge, including knowing the key legal documents for your online business. You will leave with (i) Website Terms of Use to protect your website, ready to use, (ii) Privacy Policy to deal with personal information, ready to use, and (iii) knowledge of the Business Terms and Conditions required to protect your business, comply with law relevant to your business, get paid and resolve disputes.
  • An understanding of how best to protect and commercialise your intellectual property
  • An understanding of the key documents required to employ key team members, staff and contractors. Know the difference between employees and contractors and learn how to incentivise team members and put in place an employee share option plan with vesting.
  • Understand what can go wrong between co-founders and other shareholders and how to design a best-practice shareholders agreement and co-founder agreement for the future.
  • Investor-ready knowledge including understanding the capital raising process, what investors look for when investing in startups, legal issues and solutions to get investor-ready, negotiating with investors (including discussing the AVCAL standards) and the legal steps and documents to close the deal.

About the expert:
Ursula Hogben is a Co-Founder, Practice Leader and General Counsel of LegalVision. Launched in 2012, LegalVision has assisted thousands of businesses across Australia, from sole traders to startups and large corporates. Ursula has assisted hundreds of businesses to launch online businesses, and assisted many startups to raise capital from seed capital from family, friends or angel investors, to significant investments from venture capital funds. LegalVision has also raised several rounds of capital itself. Prior to LegalVision, Ursula was a Director at Merrill Lynch, advising on mergers and acquisitions, and assisting the bank to lead and join debt and equity capital raising, in Australia and internationally.

Course Curriculum

Module 1: Business and personal structuring

  • Learn the different business structures, and the most commonly chosen structure for businesses with strong growth plans.
  • Consider how many shares to issue to yourself, any co-founders, investors or strategic partners.
  • Learn why you may not want to own your shares personally, and other alternatives.

Module 2: Online business launch - key contracts and intellectual property

  • Learn the key legal issues for online businesses and how to solve these challenges – consumer law, privacy law, spam law and intellectual property law.
  • Create a Website Terms of Use and Privacy Policy for your business
  • Learn about what you require in your Business Terms and Conditions
  • Learn about protecting and commercialising intellectual property.

Module 3: Team building, Shareholders Agreements, co-founders and hiring a team

  • Learn about bringing in co-founders and other key people, and protecting the business with a Shareholders Agreement and co-founder vesting.
  • Learn about Shareholders Agreement issues and solutions for founders and for minority shareholders.
  • Understand the difference between employees and contractors.
  • Understand incentivising team members with employee share option plans and protecting the business with employee vesting.

Module 4: Capital raising, investor readiness and investor negotiations

  • Understand the capital raising process, including commercial and legal steps, issues and solutions.
  • Learn what investors look for when investing in startups.
  • Learn legal issues and solutions to get investor-ready.
  • Learn key issues and solutions for negotiating with investors, including discussing the AVCAL standards.
  • Learn legal steps and documents to close the deal.


Workshop logistics:
This workshop is one day and is limited to twelve participants, enabling Ursula to ensure everyone achieves their objectives. Participants will have the opportunity to ask questions by email in the week leading up to the workshop and Ursula will seek to address everyone’s challenges, questions and goals. At the end of the course you will walk away with two important legal documents and a clear plan for legal steps to take to best establish and protect your business. Ursula delivers the course in person, onsite at LegalVision’s awesome Surry Hills warehouse headquarters. The program runs from 9 am– 5.30 pm with short breaks. Lunch, morning and afternoon tea is provided.
