About This Workshop

An employee share (or option) scheme (ESS) provides an opportunity for employees to acquire equity in the company they work for.

Employee share schemes can benefit employees financially if the company performs well and are often used as a way of attracting, retaining and motivating staff. An ESS may benefit the company as it can also align the employees’ interests with shareholders’ interests.

The ESS tax rules have recently changed to make equity far more tax effective for employees’ of start-up companies, however there are strict rules that define which companies can qualify as a start-up, which we’ll dive into during this workshop.

We’ll discuss the tax obligations for both the start-up, and the employee, the advantages and disadvantages of offering an ESS. We’ll look at options including vesting, how to value your shares and things that need to be considered when an employee wants to sell their shares, or leaves the company.

About the Presenters

Anthony Bradica
Partner, Hall & Wilcox

Anthony is a highly regarded tax practitioner with over 20 years’ experience. He has particular expertise in taxation planning and structuring, including advising on capital raisings, business structuring, mergers and acquisitions, and disputes with Federal and state taxation authorities.

Anthony’s current practice primarily focuses on tax advisory, advising in respect of employee share plans and executive remuneration, and managing tax disputes with revenue authorities. He has specific industry experience in the telecommunications, software / IT services industries, media and entertainment industry, and the property and construction sector.

Remco Marcelis

Remco is not your typical accountant. Which is why he founded Standard Ledger – an accounting firm dedicated to startups and high growth SMEs.

Remco’s career combines management consulting experience gained over 10 years in multinationals like Accenture and PricewaterhouseCoopers, with experience at the coalface as a full-time CFO inside tech, medtech and crypto startups and as a virtual CFO for others. He has been doing the latter for 10 years, plus four years in venture capital firms, and during that time he has helped raise and invest more than $40 million.

He is a chartered professional accountant with an advanced MBA degree from the University of Adelaide, and is a graduate of the Australian Institute of Company Directors.

Remco also teaches finance topics at coworking spaces in Melbourne and Sydney, and entrepreneurial programs for the University of Adelaide and Swinburne University in Melbourne.
