Notice is given that an Annual General Meeting of the members of CoRE Learning Foundation Inc. (CoRE Foundation) will be held at Suite 1/96 Royal Street, East Perth, Western Australia on Tuesday 20 October 2020 4:30pm, local time.

All positions on the Board as declared vacant at the commencement of this AGM. The purpose of this item is to elect the Board of the Foundation who are to hold office until the next Annual General Meeting of the Foundation. Including election of:

a. Chair

b. Deputy Chair

c. Treasurer

d. Secretary

e. CoRE Member representatives from:

i. CoRE Lighthouse School - Kent Street Senior High School, Perth;

ii. CoRE Member School Representative

iii. CoRE Member School Representative

4. Other business

Explanatory Statement

These Explanatory Notes are provided to members of the Foundation to explain the resolutions to be put to the members at the Annual General Meeting to be held Virtually via the Zoom meting platform and physically at Kent Street Senior High School, 89 Kent Street, East Victoria Park Western Australia on 21 September 2020.

The Secretary of the Foundation recommends members read the accompanying Notice of Meeting and these Explanatory Notes in full before making any decision in relation to the resolutions.

The Notice of Meeting sets out the details of resolutions (Resolutions) as set out in the notice.

Specific comments relating to the Resolutions are set out below.

Ordinary Business

1. Item 1 – Report from the Chair on behalf of the CoRE Board and Management Committee

Item 1 will include a report from the Chair on the performance of the CoRE Learning Foundation since the last AGM, including performance against the Charter and CoRE Expansion plans. Members are advised that the Chair will also make comments on the effect of the COVID-19 Pandemic (which include the reason for the delayed date of this AGM). The Chair will provide a report on behalf of the Management Committee and highlights from the CoRE Lead Educator. The Chair will also outline plans for the remainder of 2020 and 2021 for ongoing sustainability and risks in conducting the business of the CoRE Learning Program. The Chair will also provide an update on partnership agreements with CoRE Schools.

Following discussion, a resolution will be put to the meeting to accept the Chair’s report.

2. Item 2 – Report from the Treasurer

The Treasurer will present the financial accounts for the CoRE Learning Foundation including an audited Statement of Income and Expenditure to be presented to the members for the purpose of rule 13 of the Constitution. The Treasurer will also outline fundraising activities and future fundraising strategies.

Following discussion, a resolution will be put to the meeting to accept the Treasurer’s Report.

3. Item 3 – Election of Board Positions and Office Holders

This item reflects the establishment of the Board of the Foundation and office holders on that board. This is part of the ordinary business of the Annual General Meeting of the Foundation.

As the CoRE Learning Foundation continues to grow, the philosophy of a member-focused organisation is particularly important to the Board. To that end, the CoRE Board has determined that additional Board positions should be created to allow more effective representation of a larger group of members’ interests as the Foundation continues to grow.

Those individuals seeking election have provided written statements in support of their nomination. Those notices are attached to this notice of Annual General Meeting. Where more than one person nominates for a position, the organisation in General Meeting will conduct a simple vote. If the outcome of that vote is unclear, a ballot will be conducted.

4. Other Business

Members may raise other busines from the floor of the meeting.
